This session will review key issues to consider when assessing
whether a joint venture structure is appropriate for your business, and some of
the key issues to consider regarding the formation, operation and windup of
JVs. The presentation will cover key structuring issues involved in the
formation, implementation and wind-up of such joint activities, including
various business and tax issues, key governance, operational and voting matters,
potential services and IP licensing agreements of partners with the JV, the
impact of future capital-raising, termination and buy/sell matters, etc.
